THE EFFECT OF NOTICE OF MEETINGS ON THE MEMBERS' FRANCHISE

Abstract

The import of meetings cannot be overemphasized in modern day corporate governance. It is an essential aspect of corporate governance. Meetings are usually summoned vide notice of meetings issued to those entitled to attend. Without which, the members who are entitled to attend will be unaware of such meetings, let alone attending. It is a notorious fact in Nigeria that some companies do not send notice of meetings to all their members. In some cases the notices were not sent timeously and are received several weeks after the meetings were held. What is the reason for this? Is it deliberate or as a result of inadvertence? What are the legal implications of non service of the notice on the meeting? And what are remedies available to the members who were disenfranchised as a result of the not service of the notice of meetings?
